In 2012, Deputy Assistant Attorney General Fiona Scott-Morton gave a speech that cautioned against “contracts that reference rivals,” including most-favored nation clauses (“MFNs”) and some forms of volume discounts because of their enhanced risk of raising antitrust concerns.
