Spain: CNMC approves Telefonica and DTS merger

Spain’s Competition authority has approved of the merger between Telecomms companies Telefónica and DTS. The merger will be subject to a series of compromises, to be maintained and monitored for five years, after which they may be modified depending on any relevant changes in market structure.

Telefonica announced their plan to purchase the remainder of DTS to the CNMC in October 2014, shortly after being approved by the European Commission. The transaction involves the purchase of 56% of DTS shares not yet owned by Telefónica.

Telefonica offered a series of commitments to the CNMC in order to secure approval for the merger. These include codes and limitations on the new company’s actions relating to Cable, audiovisual content distribution and the managing of TV networks.
